IonQ said it received final regulatory approval to complete its acquisition of SkyWater Technology, the largest exclusively U.S.-based semiconductor foundry, with the deal closing on Friday, July 31.
The Federal Trade Commission granted early termination of its review of the cash-and-stock transaction, which was announced in January and is valued at roughly $1.8 billion. Bloomberg reported that the FTC was split over the deal but ultimately let it close without changes.
The combination creates what IonQ calls the only vertically integrated full-stack quantum platform company: SkyWater will continue to serve customers as a U.S.-based foundry, operating as a wholly owned subsidiary under its own name, with facilities in Minnesota, Florida and Texas and accreditation as a DMEA Category 1A Trusted Foundry.
IonQ says the acquisition is expected to materially accelerate its quantum computing roadmap and secure a fully domestic, scalable supply chain for manufacturing new generations of its quantum computers. The company, which set a world record with 99.99% two-qubit gate fidelity in 2025 and recently launched its Tempo generation of systems, will hold its second-quarter earnings call on August 5 and an investor day on September 8.
