Anthropic has been preparing to give CEO Dario Amodei and other co-founders a class of stock with extra voting power to help insulate them from shareholder pressure, according to reports from The Information and Bloomberg.
The structure would give founders extra voting power despite relatively small ownership stakes, helping protect control from outside investors ahead of what is expected to be one of the largest IPOs in history. The AI company confidentially filed for an IPO with a potential valuation of over $2 trillion.
Anthropic recently raised $65 billion in funding. The super-voting share structure mirrors governance frameworks used by Meta Platforms and Google parent Alphabet, where founders retain outsized control despite diluting their economic ownership.
The move signals Anthropic is getting serious about its public market debut and wants to ensure the leadership team maintains its vision and strategic direction as the company transitions from private to public ownership.
